Where a person who is the only director and shareholder of a private company dies, the heirs, or where he or she leaves no heir, the curator under the relevant regulations, may appoint a director.
Where the heirs or curator fail to appoint a director within thirty (30) days of the death of the former director, the Registrar General may apply to the Court for the appointment of a fit and proper person to act as director, until the appointment of a director by the heirs or curator.
For interpretation and understanding of the above:
CURATOR is a person appointed to take care of interests or affairs of another; a guardian;
DIRECTOR is a person appointed or elected to sit on a board that manages the affairs of a company/corporation or other organization by electing and exercising control over its officers;
HEIR means a person who succeeds to the rights and occupies the place of, or is entitled to succeed to the estate of, a decedent, whether by an act of the decedent or by operation of law;
SHAREHOLDER is a person who owns or holds a share or shares in a company/corporation. Also termed shareowner or stockholder.
